Terms of service

Effective June 24, 2026

These general terms apply to Design Coded project enquiries and services. A written proposal or statement of work may add or replace terms for a specific project.

Scope and contract formation

An enquiry or website submission is not a contract. Work begins only after both parties approve the written scope, timeline, price and payment schedule and the required deposit is received.

Client responsibilities

The client must provide lawful content, usable design files, access and feedback on time. The client confirms that it has the right to use all supplied text, images, fonts, designs, trademarks and other material.

Changes and revisions

Packages include the revision rounds stated in the proposal. A revision adjusts work within the approved design and scope. New pages, substantially changed designs, new functionality or delayed replacement content may require a revised estimate and schedule.

Payments

Deposits reserve production time and are credited toward the project total. Unless the proposal says otherwise, projects below US$500 require a 50% deposit and larger projects require a 40% deposit. The remaining balance is due before final source files or production deployment are released.

Delivery and acceptance

Review builds may contain temporary watermarks, restricted access or incomplete production configuration. A deliverable is considered accepted when approved in writing or when no material scope-related issue is reported within seven calendar days of delivery.

Intellectual property

After full payment, the client receives rights to the custom project deliverables described in the proposal. Design Coded retains rights to pre-existing tools, general techniques, reusable utilities and know-how. Third-party software remains subject to its own licence.

Portfolio use

Unless a confidentiality agreement or written instruction says otherwise, Design Coded may identify the client and display completed public-facing work in its portfolio after launch.

Warranties and liability

Design Coded will perform services with reasonable care. Browser, hosting, third-party platform and future software changes cannot be guaranteed indefinitely. To the maximum extent permitted by applicable law, total liability related to a project is limited to the fees paid for that project.

Termination

Either party may end a project for material breach after reasonable notice and an opportunity to correct it. The client remains responsible for approved work completed and committed non-refundable costs up to termination.
